Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Tradies Bio® platform, including the public website at https://tradiesbio.au/, the personal tradie dashboard, the Progressive Web App (PWA), and enabled enquiry and customer management tools (collectively, the "Platform"). Customer-owned AI Personal Assistant implementation is a separate installation, training and support service; it is not shared AI access supplied by the PWA. Personal AI Assistant setup, training and support are delivered by trained and experienced Facilitators. The legal seller of each paid service is identified in the written offer or invoice before payment. In these Terms, "we", "us" and "our" refer to the provider of the Platform and services under the Tradies Bio® brand, subject to any existing written agreement identifying a different contracting party.

By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree, do not use the Platform. If you have questions, contact us at info@tradiesbio.au.

1. Acceptance of Terms

By creating an account, accessing the Platform, or using any feature of the Platform — including filling out a public tradie profile, submitting or receiving customer enquiries, or connecting a third-party service — you confirm that:

• You have read and understood these Terms;
• You are at least 18 years of age;
• You have the legal capacity to enter into a binding agreement; and
• You agree to be bound by these Terms and our Privacy Policy.

2. Permitted Use

Tradies Bio® is a business platform designed for licensed Australian tradies. You may use the Platform only for lawful purposes and in accordance with these Terms. Permitted uses include:

• Creating and maintaining a public tradie business profile;
• Receiving and managing customer enquiries;
• Using the profile, enquiry, quote, invoice and compliance tools supplied through the Platform;
• Using supported third-party services where a feature is enabled and you expressly authorise it; and
• Accessing business tools, resources, and content provided on the Platform.

You must not:

• Use the Platform for any unlawful, fraudulent, or deceptive purpose;
• Upload or transmit content that is false, misleading, defamatory, or infringes third-party rights;
• Attempt to gain unauthorised access to any part of the Platform, other accounts, or our systems;
• Use automated tools, bots, or scrapers to access or extract content from the Platform without our written consent;
• Resell, sublicense, or commercially exploit the Platform or its content without our prior written approval; or
• Interfere with the security, integrity, or availability of the Platform.

3. Tradie Responsibilities — Accuracy of Business Information

If you register as a tradie on the Platform, you are solely responsible for the accuracy, completeness, and currency of all information you provide, including but not limited to:

• Your Australian Business Number (ABN);
• Trade licences and licence numbers;
• Certificates of currency for insurance;
• Business name, contact details, and service descriptions; and
• Any other credentials displayed on your public Bio page.

You agree to update your profile promptly if any of your business information changes, including if a licence expires, insurance lapses, or your ABN status changes.

4. Account Registration and Security

To access certain features of the Platform, you must create an account. You agree to:

• Provide accurate and complete registration information;
• Maintain the confidentiality of your login credentials;
• Notify us immediately at info@tradiesbio.au if you suspect unauthorised access to your account; and
• Accept responsibility for all activity that occurs under your account.

We reserve the right to suspend or terminate accounts that we reasonably believe have been compromised, used fraudulently, or used in violation of these Terms.

5. Intellectual Property

Tradies Bio® is a registered trademark (No. 2408794) owned by Stephen Pearce. Other Platform content — including text, graphics, logos and software — may be owned by the relevant creator or used with permission and is protected by applicable intellectual property laws. Business-name registration is not trademark ownership.

You retain ownership of content you upload to the Platform (such as photos and business descriptions). By uploading content, you grant the Platform provider a non-exclusive, royalty-free, worldwide licence to display and use that content solely to operate and provide the Platform.

You must not copy, reproduce, distribute, or create derivative works from any Platform content without our prior written consent.

6. Third-Party Services

The Platform uses external payment, hosting, storage and email providers and, where enabled, phone or messaging service providers. Separately arranged AI services use your chosen AI provider. Your use of external services is subject to the relevant provider's terms and privacy policy. We do not control external services or guarantee their availability, pricing or outputs. This does not exclude our responsibility for our own contracted work or your rights under Australian Consumer Law.

Shared AI Co-Pilot, Nova and Scout access is not supplied as part of the current Platform. Personal AI Assistant implementation is available to tradies and other business owners under an agreed written offer. A Facilitator helps install and configure the agreed setup, trains you to use it and provides the support included in that offer. Web App access is a separate product unless expressly included in your purchase.

Customer-owned AI accounts and external charges

You sign into the selected AI service using your own personal or business account and retain control of that account, its settings and billing. You must accept the provider's terms, arrange any required subscription, and pay the provider directly for subscriptions, usage, tokens, storage or other external charges. Our installation, training and support fee does not include those charges or supply unlimited AI usage. We explain required services and known costs before you agree to the setup; we do not activate paid plans or upgrades without your express approval. Provider prices, quotas and availability may change independently.

Do not give a Facilitator your password or authentication codes. Any remote access or account connection requires your permission. You decide what information to share with your AI provider and must have authority to share any customer or business information. Review AI outputs before relying on them or sending them to others. “Your AI Assistant” means your account and configured setup, not ownership of the provider's underlying technology.

Support and additional work

Your accepted written offer records the installation scope, training, included support duration and any separately purchased prepaid support. We confirm actual installation and support dates and contact arrangements. Payment does not book an appointment or start the support clock. Additional work outside the agreed scope requires a separate quote and your approval; correcting a failure in our contracted service is not automatically a paid extra. Existing customers retain their accepted prices, support periods and other service commitments.

7. Refunds & Cancellations

Our Refunds & Cancellations Policy forms part of these Terms. It explains how to raise a concern about delivery, request cancellation and seek an appropriate remedy. Nothing in these Terms or that policy limits your rights under Australian Consumer Law. Existing accepted terms and any greater statutory remedies remain protected.

Contact info@tradiesbio.au for assistance, or request a callback. You do not need to chase a Facilitator for a remedy concerning services purchased through our website.

8. Limitation of Liability

To the maximum extent permitted by Australian law, the Platform provider and people acting on its behalf are not liable for any:

• Loss of profits, revenue, data, goodwill, or business opportunity;
• Indirect, incidental, special, consequential, or punitive damages;
• Damages arising from your reliance on information provided by another tradie, including credentials, licences, or insurance details displayed on a tradie's profile;
• Losses arising from unauthorised access to or alteration of your account or content; or
• Interruptions to or unavailability of the Platform.

Nothing in these Terms limits any rights you may have under the Australian Consumer Law or other non-excludable statutory protections.

Only where liability may lawfully be limited, our total aggregate liability to you for claims arising out of or in connection with your use of the Platform is limited to the amount you paid us (if any) in the three months preceding the event giving rise to the claim. This limit does not apply to rights, remedies or liabilities that cannot lawfully be limited.

9. Disclaimer of Warranties

Subject to non-excludable rights under Australian law, the Platform is provided on an "as is" and "as available" basis without additional warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Platform will be uninterrupted, error-free, or free of viruses or other harmful components.

We do not verify or endorse any tradie's qualifications, licences, insurance, or work quality. This concerns independently arranged trade work, not the legal seller's responsibility for setup, training, support or Web App services purchased through this website. Your non-excludable consumer rights remain unchanged.

10. Account Termination

You may close your account at any time by contacting us at info@tradiesbio.au. Upon termination, your public profile will be removed from the Platform.

We reserve the right to suspend or permanently terminate your account, with or without notice, if you:

• Violate these Terms;
• Provide false or misleading business information;
• Engage in fraudulent or unlawful conduct; or
• Take actions that harm other users, customers, or the Platform.

Sections of these Terms that by their nature should survive termination (including intellectual property, limitation of liability, and governing law) will survive the termination of your account.

11. Changes to These Terms

We may update offerings, prices and these Terms for future purchases. Changes do not retrospectively reduce support, duration or other benefits already purchased, or change an accepted prepaid price. For existing services, reasonable operational changes must not materially reduce the agreed service. We give written notice of material changes, normally at least 30 days where practicable; urgent legal or security changes may require shorter notice with an explanation as soon as practicable.

If we cannot continue agreed paid support, we offer an agreed equivalent arrangement. If no suitable arrangement is agreed, you may cancel the affected remaining support without penalty and receive a refund for its unused portion. Greater statutory remedies remain available. Continued use alone does not authorise retrospective changes to an existing purchase. Expiry of support does not end Australian Consumer Law rights.

12. Governing Law

These Terms are governed by the laws of New South Wales, Australia. Any disputes arising from or in connection with these Terms will be subject to the exclusive jurisdiction of the courts of New South Wales.
